Deputy General Counsel: Government Contracts and Products Counsel

CACI is seeking qualified candidates for this Deputy General Counsel: Government Contracts and Products Counsel role. The position reports directly to the Company's General Counsel and works closely with other members of the Legal Department and CACI senior executives, in both staff and operations, advising them on key issues of interest and providing them with both legal and business advice to support their needs. This position involves significant responsibility supporting the full range of work in CACI's Legal Division, with particular focus on Government Contracts, Products, and compliance with federal procurement laws and regulations, principally in the defense and intelligence sectors.

Responsibilities:

  • Government contracts - supporting CACI's contract and procurement activities in the negotiation and administration of the Company's business, with particular responsibility for contracts with commercial partners and international customers; interpreting, drafting and negotiating contract clauses; handling government claims and business disputes; drafting and negotiating subcontracts and teaming agreements; addressing ethics and organizational conflicts of interest issues; and managing bid protests.
  • Products counsel – coordinating across legal and subject matter experts, including engineering, operations and marketing, to mitigate risk and provide legal advice on relevant considerations such as intellectual property (IP) and export control issues.
  • Compliance – conducting internal investigations; serving as POC for government inquiries and investigations; developing policies and procedures to comply with emerging federal procurement laws and regulations; and other legal and regulatory compliance matters.
  • General - supporting legal matters as assigned by the General Counsel, including performing legal due diligence for acquisitions and divestitures, drafting transaction documents, negotiating terms, supporting management in allocating corporate transaction risks; and managing litigation.

Qualifications: Required:

  • Minimum of seven (7) years' experience in government contracts, products, and/or corporate compliance matters.
  • Significant experience in general contract negotiation and drafting, helping teams expedite deal closures, and optimizing contractual terms.
  • Experience working in the trade compliance field.
  • Strong writing skills.
  • Commitment to integrity and professionalism.
  • Superior interpersonal skills and the ability to relate to employees and management.
  • Attention to detail and organization; strong time management skills.
  • Ability to think critically and develop creative and practical solutions.
  • Highly adaptable to change; ability to work independently and collaboratively.
  • Ability to multi-task and operate in a fast-moving environment.
  • Eligibility to quickly obtain a Top Secret/SCI clearance.

Bar: Juris Doctor and a member in good standing of the bar in at least one U.S. jurisdiction. Desired:

  • Experience at a top tier law firm and excellent law school credentials, as well as in-house experience.
  • Active Top Secret/SCI clearance.
  • Experience with IP matters, including IP transactions, counseling, and litigation, spanning all forms of IP.
