We are seeking an experienced Product and Commercial Counsel to join our small, collaborative legal team, reporting directly to the General Counsel. This role supports both Gigamon's innovative product portfolio and all aspects of commercial legal activity, enabling cross-functional teams as our business grows and evolves.
As a small team supporting a large global organization, there will also be opportunities beyond core responsibilities for those with the acumen and interest to grow.
What You Will Do
- Advise cross-functional teams on legal, regulatory, and compliance aspects of product development, launch, licensing, distribution, and marketing.
- Provide guidance on intellectual property, data privacy, open source, and technology licensing issues.
- Support go-to-market readiness, strategic partnerships, and product-related commercial activities.
- Draft, negotiate, and review complex agreements, including reseller, end-customer, vendor, professional services, OEM, marketing, and alliance contracts.
- Partner with Sales and Business Development to assess risk and provide practical, business-focused advice.
- Ensure commercial contracts and transactions align with internal policies, business objectives, and revenue recognition requirements.
- Advise on business law, competition, contract interpretation, and compliance initiatives.
- Assist with disputes, litigation support, and risk management tied to both products and commercial operations.
- Collaborate across departments, share expertise, and build trusted relationships with stakeholders.
- Manage competing priorities in a fast-paced environment, contributing flexibly beyond core responsibilities when needed.
What You Have Done
- Accumulated at least 7+ years of relevant legal experience in technology counseling and commercial law, ideally across both law firm and in-house roles.
- Counseled on product lifecycles, software licensing, privacy/data protection, intellectual property, and commercial transactions.
- Drafted and negotiated a wide range of complex contracts supporting sales, partnerships, and operations.
- Supported product development and go-to-market strategies with legal and compliance guidance.
- Built trusted cross-functional partnerships and delivered clear, practical legal advice to diverse stakeholders.
- Balanced multiple priorities independently while exercising sound judgment and knowing when to escalate.

- The base salary compensation range targeted for this role based out of Gigamon's Santa Clara, CA, Headquarters office is $164,000 - $205,000, with an opportunity to earn an annual bonus or commission (subject to terms and conditions of the plan). This salary range is an estimate, and the actual salary may vary based on the Company's compensation practices.
